Definitions of Terms

"Magic Soup, Inc." (the "Company") is a Florida not-for-profit company that has developed and operates the Website.

"Opportunity to Share" means an event posted on the Website providing Users the opportunity to volunteer, contribute money or otherwise share time or resources.

“WheretoShare.org" (the "Website"), is an Internet website and database operated by the Company.

"User" means a person who is either a person accessing and searching the WheretoShare database or a person posting opportunities to share into the WheretoShare database.

Terms of Use

1. The User must be a person searching for or posting Opportunities to Share on the Website.
2. The User must (a) provide true, accurate and current information; (b) maintain and update this information and ensure that it remains true, accurate and current. By registering, submitting personal contact information to, or contacting any person or entity on the Website, the User affirmatively consents to receive personalized emails, telephone calls and / or faxes from the person contacted regardless of their status in the National Do Not Call Registry.
3. To register, the User must be eighteen (18) years of age or older.
4. All data provided on the Website is for the personal, sole and private, non-commercial use of the User and not available for redistribution, retransmission or copying. The User may not sell or use the Website data for any purpose, other than the purpose of attempting to review or post Opportunities to Share.
5. The User must provide their own access to the World Wide Web ("www") and pay any fees associated with such access.
6. User agrees to abide by all copyright restrictions placed on the content of the Website including, but not limited to, any material or data compilations where the Company or others hold the copyright.
7. The Company disclaims any and all warranties, including, but not limited to: (1) any warranties concerning the availability, accuracy, usefulness, or content of or uninterrupted access to information, products or services and (2) any warranties of title, non-infringement, merchantability or fitness for a particular purpose. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, or destruction or unauthorized access or, alteration of or use of record in connection with the use or operation of this service, whether for breach of contract, tortuous behavior, negligence or any other cause of action.
8. Neither the Company nor any of its officers, directors, investors, employees, contractors, agents, successors, assigns, affiliates, or content or service providers shall be liable to User or any other third party for any direct, indirect, incidental, special, punitive or consequential damages arising out of the use of the Website service, participation in any Opportunity to Share posted on the Website or inability to gain access to or use this service or out of any breach of any warranty, even if the Company has been advised of the possibility of such damages.
9. Some states do not allow the exclusion or limitation of liability for damages. Therefore, the above limitations may not apply. In such states, the respective liability of the Company, its officers, directors, investors, employees, contractors, agents, successors, assigns and affiliates is limited to the greatest extent permitted by such states' laws.
10. The Company reserves the right to terminate any User access to the Website, delete any posted Opportunites to Share or comments thereon, delete any User accounts and/or cease doing business with any person who uses profanity, obscenity, vulgarity or offensive, threatening, unlawful, harmful, harassing, tortuous, defamatory, libelous, invasive, hateful, abusive or otherwise objectionable language, behavior or conduct in any manner towards any Company employee, agent, contractor or customer, on the Website, in emails, in telephone conversations or messages, in writing, or in person. Additionally, the Company reserves the right to refuse to do business with any person or allow any person's content to be placed on the Website in the sole and absolute discretion of Company.
11. By accessing, browsing or using the Website, User acknowledges that User has read, understood, and agrees to be bound by these terms and to comply with all applicable laws and regulations, including but not limited to U.S. export and re-export control laws and regulations.

The Website is intended to provide event and organization information to the public. The Company accepts no responsibility or liability for any errors, omissions, or inaccuracies, in the information provided. Further, the Website and Company will not be liable to anyone in respect of any loss, damage, injury or expense, suffered or incurred as a result of reliance on the information on the Website.

Visitors to the Website are advised that:

1. Material on the Website is information of a general nature only and is not intended to address the specific circumstances of any particular individual or entity.
2. The Website contains links to third party websites which are not under the control of the Company and the Company is not responsible or liable for the contents of any linked website, or any link contained in a linked website. The events and Opportunities to Share posted on the Website are not events belonging to or promoted by the Company and do not express the views of the Company or any of its owners, employees, agents or associates. Further, none of the comments, views or statements contained in any Opportunity to Share on the Website by a User are shared, expressed or otherwise endorsed in any manner and no manner whatsoever by the Company. The User who views and participates in any Opportunity to Share posted on the Website agrees that the Company, its owners, employees and agents shall be free from any and all liability in regard to viewing or participating in any Opportunity to Share posted on the Website.
